Business and Intangible Assets Valuation: Valuation reports are now required by businesses for wide-ranging purposes, e.g. to provide sufficient documentation to their outside auditors, for regulatory compliance with the Reserve Bank of India & the Securities & Exchange Board of India, tax filings with the Indian Tax Authorities etc. PERFECT provides valuation reports for various requirements, such as:

  • Purchase price allocation of consideration paid for an acquired company (or group of assets) among identifiable tangible and intangible assets

  •  Fair Value of Stock Options given to employees as part of their compensation package for reporting in financial statements

  • Evaluating Impairment of Long-Lived Assets using free cash flow being generated by each identifiable cash generating units

  • Valuation of merging companies in order to calculate exchange ratios for shareholders

  • Valuation of securities as per Discounted Free Cash Flow method as required by Reserve Bank of India (RBI), for issuing securities to a non-resident person

Regulatory Consultancy: At times businesses are in need of expert advice and assistance in obtaining approvals for certain key matters to comply with various regulatory requirements or to close the operations and remit the surplus fund back to the parent company.   • Approvals from Ministry of Corporate Affairs / Registrar of Companies

  • Obtain Managerial Remuneration approval for payment/waiver of remuneration in excess of the limits provided under the Companies Act, 1956

  • Obtain approvals for transactions with directors of the Company (under Section 295, 297, 299 etc. of the Companies Act, 1956)
